Waste Hub Additional Poster Terms
BY REGISTERING FOR AN ACCOUNT ON THE WEBSITE, YOU, ON BEHALF OF YOURSELF AND ANY ENTITY YOU REPRESENT, IF APPLICABLE, ACKNOWLEDGE THAT: 1) YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS AND CONDITIONS OF THESE ADDITIONAL POSTER TERMS (THE “POSTER TERMS”); 2) YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THESE POSTER TERMS; AND 3) THESE POSTER TERMS FORM A LEGALLY-BINDING AGREEMENT BETWEEN YOU AND WASTE HUB, LLC (“WASTE HUB,” “US,” OUR,” AND “WE”). WHEN YOU REGISTER FOR AN ACCOUNT, YOU WILL BE REQUIRED TO CLICK-TO-AGREE TO THESE POSTER TERMS. IF ACTING ON BEHALF OF AN ENTITY, YOU MUST HAVE, AND YOU REPRESENT AND WARRANT THAT YOU HAVE, FULL AUTHORITY TO BIND YOUR ENTITY TO ALL OF THE TERMS AND CONDITIONS OF THESE POSTER TERMS. PLEASE READ THESE POSTER TERMS CAREFULLY. DO NOT REGISTER FOR AN ACCOUNT ON THE WEBSITE OR POST WASTE PRODUCT TO THE WEBSITE IF YOU DO NOT AGREE WITH EACH TERM AND CONDITION STATED IN THESE POSTER TERMS. You acknowledge and agree that your use of the Website to post waste product on the Website is also subject to the terms and conditions of our Website Terms of Use. You acknowledge that these Poster Terms and your agreement to these Poster Terms are supported by reasonable and valuable consideration, the receipt and adequacy of which are hereby acknowledged. Without limiting the generality of the foregoing, you acknowledge that such consideration includes your use of the Website to post waste product, and/or your browsing and other use of the Website.

As used herein, the term “Receiver” means any user who purchases or offers to purchase, is paid to receive or remove or offers to receive or remove in exchange for payment, removes or offers to remove at no cost to the Poster, or otherwise receives from a Poster waste product that is posted to the Website. The terms “Poster” and “you” each mean any user who sells or offers to sell, pays or offers to pay to have removed, allows or offers to allow a Receiver to remove for no payment to the Receiver; or otherwise provides to any Receiver waste product that the Poster posts to the Website. The term “Transaction(s)” means buying, selling, or otherwise providing or receiving waste product to or from another Website user with or without a monetary exchange, as a result, directly or indirectly, of information posted on the Website.

1. Posting Waste Product on the Website:  Your Conduct
When you post waste product to the Website and/or sell, pay to have removed, allow a Receiver to remove for no payment, or otherwise transfer or provide waste product to a Receiver through the Website, you agree that you will not:

You agree that when you post a waste product to the Website and/or sell, pay to have removed, allow a Receiver to remove for no payment, or otherwise transfer or provide waste product to a Receiver:

You agree that Waste Hub may place limits on the maximum number of and size of postings or other content you can post to the Website under your account. You further acknowledge and agree that you will only post one posting per waste product (i.e., multiple postings for a single waste product is not allowed)

2. Transaction Notification and Fees.
a. You agree that when you agree to sell waste product, pay a fee to have waste product removed, otherwise provide any waste product you posted to the Website to any Receiver, or otherwise engage in a Transaction, you will immediately notify us via info@waste-hub.com(i) when the Transaction commences, meaning when a Receiver expresses interest in your waste product and you initially engage the Receiver to negotiate with regard to such waste product; and (ii) when the Transaction is complete, meaning the earlier of when you enter into a written agreement with the Receiver, when you pay the Receiver or receive payment from the Receiver, or when you provide the waste product to the Receiver.

b. In cases where you receive payment from the Receiver or where you realize savings (discussed below) from engaging in your Transaction with the Receiver, you agree to pay Waste Hub as follows:

(i) For Transaction agreements with a term of one (1) year or more* (including without limitation agreements with no specific term but that automatically renew), you agree to pay Waste Hub the GREATER* of:

(1) An annual commission (payable monthly) equal to 5.0% of the total Transaction amount you are either paid by the Receiver or you pay the Receiver, in the first twelve-month period (for purposes of this Section 2, a twelve-month period is referred to as a “year”) of your agreement with the Receiver; or

(2) An annual commission (payable monthly) equal to 20% of the savings that you realize by engaging in the Transaction through the Website in the first year of your agreement with the Receiver. For purposes of this calculation, “savings” is the amount you save and/or earn in additional revenue by engaging in a Transaction with a Receiver, as compared to the amount you spent or earned in revenue from the waste product, to sell, pay a fee to have removed, or otherwise transfer your waste product in the year immediately prior to engaging in such Transaction through the Website; or

(3) $500.00. For the avoidance of doubt, minimum amount you will pay Waste Hub as a result of a Transaction is $500.00.

*For a Transaction with a multi-year term, you will only be responsible for paying Waste Hub the Transaction Fee for a maximum of ten (10) years from the start date of the Transaction.
*The greater of the Transaction amount-based commission or savings amount-based commission shall be determined on an annual basis. Each year, you will owe Waste Hub the greater of the Transaction amount-based commission or savings amount-based commission.

(ii) For Transaction agreements with a term of less than one (1) year, you agree to pay Waste Hub the GREATER of:

(1) A monthly commission equal to 5.0% of the total Transaction amount you are either paid by the Receiver or you pay the Receiver during the term of the Transaction; or

(2) A commission equal to 20% of the savings that you realize by engaging in the Transaction through the Website. This commission shall be payable monthly, divided equally by the number of months during the term of the Transaction. For purposes of this calculation, “savings” is the amount you save and/or earn in additional revenue by engaging in a Transaction with a Receiver, as compared to the amount you spent or earned in revenue from the waste product, to sell, pay a fee to have removed, or otherwise transfer your waste product in the year immediately prior to engaging in such Transaction through the Website; or

(3) $500.00. For the avoidance of doubt, minimum amount you will pay Waste Hub as a result of a Transaction is $500.00.

(iii) For Transaction agreements with a one-time payment between Poster and Receiver, you agree to pay Waste Hub the GREATER of:

(1)  A one-time commission payment equal to 5.0% of the of the total Transaction amount you are either paid by the Receiver or you pay the Receiver; or

(2) A one-time commission payment equal to 20% of the savings you realize by engaging in the Transaction through the Website. For purposes of this calculation, “savings” is the amount you save and/or earn in additional revenue by engaging in a Transaction with a Receiver, as compared to the amount you spent or earned in revenue from the waste product, to sell, pay a fee to have removed, or otherwise transfer your waste product in the year immediately prior to engaging in such Transaction through the Website; or

(3) $500.00. For the avoidance of doubt, minimum amount you will pay Waste Hub as a result of a Transaction is $500.00.

The greater of the Transaction amount-based commission, the savings amount-based commission, or $500.00 shall hereafter be referred to as the “Transaction Fee.”

c. Whenever you engage in a Transaction, you will always be responsible for paying the Transaction Fee to Waste Hub; the Receiver is never responsible for paying Waste Hub as a result of a Transaction. All payments shall be made to Waste Hub, without deducting any expenses, taxes, duties, or other amount. All fees are payable to Waste Hub in United States dollars. Except if required by law, all fees paid to Waste Hub are nonrefundable. Waste Hub will invoice you for payment of the Transaction Fee, and you agree to pay all invoices within thirty (30) days of the date of such invoices. For late payments, you will be charged interest on the Transaction Fee at a rate of 1.5 % per month and a daily tabulation fee of $12.50 per day, or the maximum rate allowed by law, whichever is lower, such interest to be calculated from the date payment was due until finally paid to Waste Hub.

d. We may change the fees we charge for various services offered through the Website from time to time. We will notify you of such changes via the contact information associated with your account or by requiring you to agree to such changes the next time you log into your account. Changes to our fees will be effective fourteen (14) days after we provide notice to you of such changes. Changes to our fees will not affect any Transaction that has been initiated prior to the effective date of the fee change; provided that you have given us notice of such Transaction pursuant to Section 2(a).

3. Records; Audit Rights; Penalties.  You shall keep and maintain full, true, and accurate records concerning all Transactions, including all data and documentation reasonably required for verification of the fees due to Waste Hub as a result of all Transactions. Waste Hub shall have the right, during normal business hours upon at least thirty (30) days’ prior notice, to audit and analyze, by itself or through a recognized independent public accounting firm, your records to verify compliance with the provisions of this Agreement concerning the fees payable to Waste Hub. If Waste Hub determines that you have failed to notify Waste Hub of any Transaction and/or to pay Waste Hub the fees owed under this Agreement for any Transaction, you agree to pay Waste Hub: (i) the Transaction Fee Waste Hub was originally owed plus interest on the Transaction Fee at a rate of 1.5 % per month and a daily tabulation fee of $12.50 per day, or the maximum rate allowed by law, whichever is lower, such interest to be calculated from the date payment was due until the applicable Transaction Fee is paid to Waste Hub; AND (ii) all attorneys’ fees and expenses and other costs and expenses incurred by Waste Hub in investigating your failure to pay and collecting payment; AND (iii) one-half (1/2) of the greater of the (a) total amount you received from or paid to the Receiver, (b) the savings you realized as a result of the Transaction (with “savings” having the same meaning as in Section 2(b) above), or (c) $500.00. You agree that the amounts described herein are reasonable penalties for your violation of your obligation to notify Waste Hub of Transactions and to pay amounts due. The foregoing shall be in addition to, and not in lieu of, all other rights and remedies Waste Hub may have at law or in equity for your failure to pay Waste Hub fees due. If you receive an offer or proposal from another user of the Website to engage in a Transaction without paying us our fees, please contact us promptly via info@waste-hub.com.

4. Transaction Confidentiality.  When you obtain information about another user through the Website (including without limitation information regarding waste product that another Poster posts to the Website) and/or when you engage in a Transaction, we require that you maintain the confidentiality of such information and maintain the confidentiality of all details of and the existence of all Transactions, unless you, the other applicable user engaged in such a Transaction, and Waste Hub all agree otherwise via a signed written instrument. You acknowledge that information about others users to which you have access when you have an account is not publicly made available, and instead is only made available to other users who have accounts, and in the case of specific Transactions, may only be made available to you as the second party to the Transaction. Section 7 of our Privacy Policy contains additional information regarding your obligations to keep confidential the information you obtain through the Website or obtain from Receivers with whom you engage in Transactions, negotiations, or inquiries.

5. Receiver Terms and Conditions.  A Receiver may have separate terms and conditions pertaining to their purchase or receipt of waste product from you. Please review all terms and conditions carefully and be sure you are comfortable with the Receiver’s terms and conditions before you agree to sell or otherwise provide the waste product to the Receiver. You are responsible for reviewing and complying with all such additional Receiver terms and conditions prior to agreeing to sell or otherwise provide your waste product to the applicable Receiver. You agree that Waste Hub is not responsible for transferring legal ownership of waste product from you to a Receiver. Waste Hub acts as an intermediary solely to connect a Poster and Receiver, and the Poster and Receiver are responsible for agreeing to terms and conditions of sale or other transfer of waste product that may be in addition to any terms and conditions set forth in these Poster Terms, our Additional Receiver Terms, our Website Terms of Use, our Privacy Policy, and our Digital Millennium Copyright Act Policy. Notwithstanding the foregoing, if any terms and conditions required by a Receiver conflict with these Poster Terms, our Additional Receiver Terms, our Website Terms of Use, our Privacy Policy, or our Digital Millennium Copyright Act Policy, the conflicting terms will not be binding on Waste Hub, and will not alter, vary, or relieve you of any duties or obligations owed to Waste Hub under these Poster Terms, our Additional Receiver Terms, our Website Terms of Use, our Privacy Policy, or our Digital Millennium Copyright Act Policy.

6. Disclaimer of Liability and Responsibility.  We have no control over, do not guarantee, and are not and shall not be held responsible or liable to you or any third party for the truth or accuracy of information provided by Receivers or potential Receivers to you, the ability of Receivers to pay for, remove, or otherwise receive waste products, that Receivers and Posters will actually complete a Transaction, or that Receivers will return waste products, if required. We have no responsibility or liability with respect to the transportation, discarding, or use of any waste products or other materials (including without limitation hazardous materials) that you post to the Website or any waste products or other materials (including without limitation hazardous materials) that a Receiver receives from you either directly or indirectly through use of the Website. You agree that Waste Hub is not a party to, makes no representations or warranties as to, and has no responsibility or liability with respect to any communications, Transactions, interactions, disputes, or any relations whatsoever between you and any other user of the Website. You must conduct any necessary, appropriate, and prudent investigation, inquiry, research, and due diligence with respect to your interactions and Transactions with other users of the Website. You agree that Waste Hub has no responsibility or liability for any loss or damage of any sort (including without limitation personal injury, death, property, or environmental damage) arising out of or relating to your Transactions with other users of the Website. If there is a dispute between you and another user of the Website, or between you and any other party, you understand and agree that Waste Hub is under no obligation to resolve such disputes or become involved in any manner in such disputes. See Website Terms of Use for additional disclaimers and limitations of liability, as well as your indemnification obligations.

7. Compliance.  You agree to comply with all terms and conditions in these Poster Terms, our Website Terms of Use, our Privacy Policy, and our Digital Millennium Copyright Act Policy. Your failure to do so may result in suspension and/or termination of your account.

8. Modification of these Poster Terms.  Waste Hub may modify and update these Poster Terms from time to time. We will post any new or revised Poster Terms here, and you should review these Poster Terms regularly to make sure that you are aware of any changes. You can determine if these Poster Terms have been revised since your last visit by referring to the effective date at the top of these Poster Terms. We will also notify you of any new or revised Poster Terms by posting a notice on the Website. If changes are significant, we will also notify you of such changes either (i) via the contact information you have provided to us; or (ii) by requiring that you agree to the revised Poster Terms the next time you log in to your account through the Website. Your access to or use of this Website following such revision constitutes your acceptance to these Poster Terms as revised, and the revisions will apply to your access to and use of the Website on and after the date on which we post the revised Poster Terms to the Website; provided, however, that the version of these Poster Terms in effect on the date a given Transaction is initiated will continue to apply to such Transaction, even if these Poster Terms are later changed. For purposes of the foregoing sentence, a Transaction is “initiated” when a Receiver expresses interest in buying, being paid to remove, or otherwise receiving waste product from a Poster, and the Poster initially engages in a negotiation with the Receiver with regard to the potential Transaction. We will keep prior versions of these Poster Terms in an archive for your review upon request.

9. Miscellaneous.  If any provision of these Poster Terms is found to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Poster Terms shall continue in full force and effect. The section headings are for convenience only and shall not be used to construe or interpret these Poster Terms. No waiver or failure to assert any provision of these Poster Terms by Waste Hub shall be valid unless in writing and signed by an officer of Waste Hub. No waiver of any breach or default under these Poster Terms will be deemed to be a waiver of any preceding or subsequent breach or default. You agree that a printed version of these Poster Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Poster Terms and/or your posting of waste product on and Transactions engaged in through the Website, to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. We will not be responsible for failure to fulfill any obligation due to causes beyond our reasonable control. Waste Hub reserves all rights not expressly granted in these Poster Terms.

WHEN YOU REGISTER FOR AN ACCOUNT, YOU WILL BE REQUIRED TO CLICK-TO-AGREE TO THESE RECEIVER TERMS. IF ACTING ON BEHALF OF AN ENTITY, YOU MUST HAVE, AND YOU REPRESENT AND WARRANT THAT YOU HAVE, FULL AUTHORITY TO BIND YOUR ENTITY TO ALL OF THE TERMS AND CONDITIONS OF THESE RECEIVER TERMS. PLEASE READ THESE RECEIVER TERMS CAREFULLY. DO NOT REGISTER FOR AN ACCOUNT ON THE WEBSITE OR INITIATE OR COMPLETE A TRANSACTION TO PURCHASE OR OTHERWISE RECEIVE WASTE PRODUCT FROM ANOTHER USER OF THE WEBSITE IF YOU DO NOT AGREE WITH EACH TERM AND CONDITION STATED IN THESE RECEIVER TERMS. You acknowledge and agree that your use of the Website to buy, remove, or otherwise receive waste product from other users of the Website is also subject to the terms and conditions of our Website Terms of Use. You acknowledge that these Receiver Terms and your agreement to these Receiver Terms are supported by reasonable and valuable consideration, the receipt and adequacy of which are hereby acknowledged. Without limiting the generality of the foregoing, you acknowledge that such consideration includes your use of the Website to buy, get paid to receive or remove, or otherwise receive waste product, and/or your browsing and other use of the Website.

As used herein, the terms “Receiver” and “you” each mean any user who purchases or offers to purchase, is paid to receive or remove or offers to receive or remove in exchange for payment, removes or offers to remove at no cost to the Poster, or otherwise receives from a Poster waste product that is posted to the Website. The term “Poster” means any user who sells or offers to sell, pays or offers to pay to have removed, allows or offers to allow a Receiver to remove for no payment to the Receiver, or otherwise provides to any Receiver waste product that the Poster posts to the Website. The term “Transaction(s)” means buying, selling, or otherwise providing or receiving waste product to or from another Website user with or without a monetary exchange, as a result, directly or indirectly, of information posted on the Website.

1. Purchasing or Otherwise Receiving Waste Product Through the Website:  Your Conduct.  When you purchase, offer to purchase, remove or offer to remove, or otherwise receive or offer to receive waste product from a Poster through the Website, you agree that you will not:

2. Transaction Notification and Fees.  You agree that when you agree to purchase, remove, or otherwise receive any waste product from a Poster through the Website, you will immediately notify us via info@waste-hub.com (i) when the Transaction commences, meaning when you express interest in such waste product and the Poster initially engages you to negotiate with regard to such waste product; and (ii) when the Transaction is complete, meaning the earlier of when you enter into a written agreement with the Poster, when you have paid for or been paid to remove or receive the waste product, or when you have received the waste product from the Poster. For all Transactions, the Poster is responsible for paying Waste Hub any Transaction fees associated with such Transactions, which Transaction fees are described in detail in our Additional Poster Terms.

4. Transaction Confidentiality.  When you obtain information about another user through the Website (including without limitation information regarding waste product that a Poster posts to the Website) and/or when you engage in a Transaction, we require that you maintain the confidentiality of such information and maintain the confidentiality of all details of and the existence of all Transactions, unless you, the other applicable user engaged in such a Transaction, and Waste Hub all agree otherwise in a signed written agreement. 5. Poster Terms and Conditions.  A Poster may have separate terms and conditions pertaining to your receipt of waste product of the applicable Poster. These may include transportation, shipping and delivery information, methods of acceptable payment, insurance requirements, payment due date, tax information, and other terms and conditions. Please review all such terms and conditions carefully and be sure you are comfortable with the Poster’s terms and conditions before you agree to purchase, remove, or otherwise receive waste product from the Poster. You are responsible for reviewing and complying with all such Poster terms and conditions prior to agreeing to purchase, remove, or otherwise receive the applicable Poster’s waste product. You agree that Waste Hub is not responsible for transferring legal ownership of waste product from a Poster to you. Waste Hub acts as an intermediary solely to connect a Poster and Receiver, and the Poster and Receiver are responsible for agreeing to terms and conditions of sale, purchase, paid or unpaid removal, or other transfer of waste product that may be in addition to any terms and conditions set forth in these Receiver Terms, our Additional Poster Terms, our Website Terms of Use, our Privacy Policy, and our Digital Millennium Copyright Act Policy.

Notwithstanding the foregoing, if any terms and conditions required by a Poster conflict with these Receiver Terms, our Additional Poster Terms, our Website Terms of Use, our Privacy Policy, or our Digital Millennium Copyright Act Policy, the conflicting terms will not be binding on Waste Hub, and will not alter, vary, or relieve you of any duties or obligations owed to Waste Hub under these Receiver Terms, our Additional Poster Terms, our Website Terms of Use, our Privacy Policy, or our Digital Millennium Copyright Act Policy.

6. Poster Waste Product Descriptions and Information.  You acknowledge and agree that Posters are responsible for describing their waste products and otherwise providing information pertaining to their waste products. You agree that you rely on the information provided by Posters in connection with their waste products at your own risk, and Waste Hub shall have no responsibility or liability to you or any third party arising from a Poster’s inaccurate or misleading descriptions or information.

7. Disclaimer of Liability and Responsibility.  We have no control over, do not guarantee, and are not and shall not be held responsible or liable to you or any third party for the existence, quality, suitability, safety, or legality of waste product advertised by and purchased or otherwise received from Posters; the truth or accuracy of waste product descriptions and other information provided by Posters or potential Posters to you; the ability of Posters to sell or provide products; or that Receivers and Posters will actually complete a Transaction. We have no responsibility or liability with respect to the transportation, discarding, or use of any waste products or other materials (including without limitation hazardous materials) that you receive from a Poster through use of the Website. You agree that Waste Hub is not a party to, makes no representations or warranties as to, and has no responsibility or liability with respect to, any communications, Transactions, interactions, disputes, or any relations whatsoever between you and any other user of the Website. You must conduct any necessary, appropriate, and prudent investigation, inquiry, research, and due diligence with respect to your interactions and Transactions with other users of the Website. For purposes of the foregoing sentence, a Transaction is “initiated” when a Receiver expresses interest in buying, being paid to remove, or otherwise receiving waste product from a Poster, and the Poster initially engages in a negotiation with the Receiver with regard to the potential Transaction. We will keep prior versions of these Receiver Terms in an archive for your review upon request.

10. Miscellaneous.  If any provision of these Receiver Terms is found to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Receiver Terms shall continue in full force and effect. The section headings are for convenience only and shall not be used to construe or interpret these Receiver Terms. No waiver or failure to assert any provision of these Receiver Terms by Waste Hub shall be valid unless in writing and signed by an officer of Waste Hub. No waiver of any breach or default under these Receiver Terms will be deemed to be a waiver of any preceding or subsequent breach or default. You agree that a printed version of these Receiver Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings, based upon or relating to these Receiver Terms and/or your Transactions, to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. We will not be responsible for failure to fulfill any obligation due to causes beyond our reasonable control. Waste Hub reserves all rights not expressly granted in these Receiver Terms.

DIGITAL MILLENNIUM COPYRIGHT ACT POLICY

Introduction
Waste Hub, LLC (“Waste Hub,” “our,” and “we”) has adopted this policy in accordance with the Digital Millennium Copyright Act of 1998, including the Online Copyright Infringement Liability Limitation Act (the “DMCA”).

Infringement Policy 
Waste Hub will respond to clear notices of alleged copyright infringement that comply with or substantially comply with the requirements set forth in this DMCA Policy. Waste Hub does not act as an arbiter or judge of disputes about intellectual property rights. It is our policy to disable access to or remove text and other material (“Content”) posted by users on our waste-hub.com website (the “Website”), which Content we believe in good faith is infringing a copyrighted work. By disabling access to or removing Content, as a prudential matter, Waste Hub is not endorsing or validating a claim of infringement. If we disable access to or remove Content from the Website, we will make a good-faith attempt to contact the party responsible for posting the Content so the owner may make a counter notification as provided for below. It is also our policy to suspend and/or terminate access of users of the Website who we believe are repeat copyright infringers. We will document notices of alleged infringement and counter-notifications.

Infringement Notification 
If you believe your work has been displayed or otherwise used on the Website in a manner that infringes your copyright, you must provide written notification of such to our Designated Agent via mail and/or e-mail. Please note that you may be liable for damages, including without limitation attorneys’ fees and costs, if you materially misrepresent that your work has been infringed by Content on the Website. If you are unsure whether your work has been infringed, we recommend that you contact an attorney before sending notice to our Designated Agent.

You must use the following format for your written notification:

(a) Identify in sufficient detail your copyrighted work that you believe has been infringed by Content on the Website;

(b) Identify the Content on the Website that you claim infringes your copyrighted work. You must identify all Content that you believe infringes, describe how the Content infringes your work, and describe where the Content is located on the Website with sufficient detail so that we can verify its existence and remove it if we believe in good faith that it infringes your copyrighted work. Review of Infringement Notices 
After the Designated Agent receives your infringement notice, Waste Hub will review it. If your notice contains the required information, as explained above, and if we have a good-faith belief that the Content is infringing your copyright, we will remove or disable access to the infringing Content.

Counter Notification 
The provider of affected Content may make a counter notification pursuant to the DMCA. To file a counter notification, you must provide written notification to our Designated Agent via mail and/or e-mail. Please note that you may be liable for damages, including without limitation attorneys’ fees and costs, if you materially misrepresent that your Content is not infringing the copyright of a third party. If you are unsure whether your Content infringes the work of a third party, we recommend that you contact an attorney before sending notice to our Designated Agent.

You must use the following format for your written notification:

(a) Identify the Content that has been removed or to which access was disabled, including a description of where the Content was located on the Website before it was removed or before access to it was disabled. In the event that the Content was located in more than one place on the Website, you should identify each location;

(b) Provide your contact information, including your full name, mailing address, telephone number, and e-mail address, if any;

(c) You must include a statement that, under the penalty of perjury, you have a good-faith belief that the Content was removed or blocked as a result of mistake or misidentification of the Content to be removed or blocked;

(d) You must include a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or, if your address is outside the United States, in the Federal District Court of Colorado, USA, and that you will accept service of process from the person who provided notification of the alleged infringement or an agent of such person; and

(e) You must sign the written notification physically or electronically.

Review of Counter Notification
After the Designated Agent receives your counter notification, Waste Hub will review it. We may determine that the Content is not infringing and may reinstate the Content or access to the Content on the Website.

Notice of Repeat Infringement and Account Termination
Waste Hub will, if appropriate, terminate repeat infringers’ access to the Website. If you believe a user of the Website is a repeat infringer, please follow the instructions above to contact our Designated Agent and provide sufficient information so we can verify that the user is a repeat infringer.
